The terms that govern use of the Replico AI website and platform, including CRM integrations, customer authorization and AI-generated recommendations.

01Acceptance

These Terms of Service ("Terms") govern access to and use of the Replico AI website and platform (the "Service"), provided by Replico AI, a company based in India.

By accessing the website, creating an account, or using the Service, you agree to these Terms. If you are agreeing on behalf of a company or other organization, you confirm that you have authority to bind that organization, and "you" refers to that organization.

Where a separate written agreement is signed between Replico and a customer, that agreement controls to the extent it conflicts with these Terms.

Replico AI is currently operating the Service in a private development and pilot-testing phase. Certain production policies, features, and controls may be updated as the Service develops.

02Description of Service

Replico provides an intelligence and automation layer for real estate businesses. The Service is designed to work alongside a customer's existing CRM: it analyses authorized CRM activity, identifies leads, follow-ups and operational situations that may require attention, and recommends a next action for review.

The customer's CRM remains the system of record. The Service is in private development and pilot testing, features may change, and integration availability — including the Lofty integration — may be limited to private-beta participants.

03Accounts

Certain features require an account. You agree to provide accurate information, keep your credentials confidential, and remain responsible for activity that occurs under your account.

  • Notify us promptly of any suspected unauthorized use of your account.
  • Accounts are for named users; credentials should not be shared between people.
  • A customer is responsible for the users it invites, including which of them may approve CRM actions.

04CRM Integrations

Customers may connect third-party CRM platforms to Replico. By connecting an integration, the customer authorizes Replico to access and process the information permitted by that integration.

Third-party services such as Lofty remain subject to their own terms, policies, availability, and permissions. Those providers may change, restrict or discontinue their APIs, which may affect or interrupt an integration. Replico is an independent product and is not certified by, endorsed by, or an official partner of any CRM provider unless expressly stated otherwise in writing.

A customer may disconnect an integration at any time. Disconnection stops further access but does not remove records already created inside the customer's CRM.

05Customer Authorization

Customers are responsible for ensuring that they have the appropriate rights and authorization to connect their CRM account and process the associated information.

The customer is responsible for ensuring that its use of the Service complies with applicable law and with the rights of the individuals whose information appears in its CRM, including requirements relating to communications, consent and marketing.

Approving a recommended action within the Service constitutes the customer's instruction for Replico to perform that action in the connected CRM.

06Customer Data

Customers retain ownership of their business and CRM data. Replico processes customer data as necessary to provide, secure, maintain, and support the service, subject to the applicable agreement and Privacy Policy.

Replico claims no ownership of customer CRM data, does not sell it, and does not share one customer's data with another customer. We may use aggregated or de-identified information that does not identify a customer or any individual to operate and improve the Service.

07AI-Generated Recommendations

Replico may generate AI-assisted recommendations, classifications, prioritizations, or other outputs. These outputs may not always be accurate, complete, or appropriate for a particular business situation.

Customers are responsible for reviewing recommendations before taking consequential business actions.

The Service does not guarantee lead conversion, appointment outcomes, revenue or any other business result, and its outputs are not legal, financial, tax or professional advice.

08CRM Actions

Replico is designed to require human approval before creating CRM follow-up tasks.

The initial product does not automatically delete leads, merge leads, reassign ownership, change lead stages, modify consent or opt-out settings, or send messages or emails on a customer's behalf. Where additional CRM actions are introduced in future releases, they will be described in the applicable documentation and remain subject to the customer's authorization.

09Third-Party Services

The Service depends on third-party services, including CRM platforms, cloud infrastructure and AI providers. Those services are operated by their respective providers under their own terms, and their availability and behaviour are outside our control.

Links to third-party websites are provided for convenience and do not imply endorsement. Replico is not responsible for third-party content, products or practices.

10Acceptable Use

You agree not to:

  • Use the Service in violation of applicable law or the rights of others.
  • Connect a CRM account you are not authorized to connect, or process information you have no right to process.
  • Attempt to gain unauthorized access to the Service, other customers' data, or related systems.
  • Probe, scan, disrupt or overload the Service or its infrastructure, or circumvent rate limits or access controls.
  • Reverse engineer, decompile or attempt to derive the source code of the Service, except to the extent this restriction is prohibited by law.
  • Resell, sublicense or provide the Service to third parties except as expressly permitted in writing.
  • Use the Service to send unlawful, harassing or unsolicited communications.

11Intellectual Property

The Service, including its software, design, interfaces, documentation and trademarks, is owned by Replico or its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes.

No rights are granted other than those expressly stated. Third-party names and marks referenced on this website, including Lofty, are the property of their respective owners and are used only to describe interoperability. If you send us feedback or suggestions, we may use them to improve the Service without obligation to you.

12Confidentiality

Each party may receive non-public information from the other in connection with the Service. The receiving party will use such information only to perform under these Terms, will protect it with reasonable care, and will not disclose it to third parties except to personnel and providers who need it and are bound by comparable obligations.

These obligations do not apply to information that is or becomes public without breach, was already known without a duty of confidentiality, is independently developed, or must be disclosed by law — in which case the receiving party will give reasonable notice where legally permitted.

13Availability

The Service is in private development and pilot testing. We aim to keep it available and reliable, but we do not commit to a specific uptime level unless a separate written service level agreement states otherwise.

The Service may be unavailable during maintenance, or as a result of factors outside our control, including CRM provider outages, third-party infrastructure failures and network issues. Features offered in beta may change or be withdrawn.

14Disclaimers

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.

We do not warrant that the Service will be uninterrupted or error-free, that recommendations will be accurate or complete, or that use of the Service will produce any particular business outcome.

15Limitation of Liability

To the maximum extent permitted by applicable law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill, business opportunity or data, arising out of or related to the Service.

To the maximum extent permitted by applicable law, Replico's aggregate liability arising out of or relating to the service will be limited to the fees paid or payable by the customer during the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

16Termination

A customer may stop using the Service and disconnect its integrations at any time. We may suspend or terminate access if these Terms are breached, if use of the Service creates a security or legal risk, or if the Service is discontinued.

On termination, the right to access the Service ends. Data handling after termination is described in the Privacy Policy and in any applicable customer agreement. Sections that by their nature should survive — including intellectual property, confidentiality, disclaimers, limitation of liability and governing law — survive termination.

17Changes

We may update these Terms as the Service develops. When we do, we will revise the "Last updated" date on this page. If a change is material, we will take reasonable steps to notify customers before it takes effect.

18Governing Law

These Terms are intended to be governed by applicable laws of India. The specific governing law and jurisdiction applicable to the Service will be finalized in the applicable customer agreement.

Dispute resolution

The parties will first attempt to resolve disputes through good-faith discussions. Further dispute-resolution procedures will be set out in the applicable customer agreement.
